TERMS OF USE TRUIST TRUST AND PORTFOLIO MANAGEMENT ON LINE SERVICES GENERAL INFORMATION ABOUT THE SERVICE Truist Trust and Portfolio Management On Line Services (the "Services") consist of access to data owned, maintained and provided by Truist Bank (“Truist”) through a computer controlled by a User, communications services and software operating on computers controlled by Truist and its service providers, and the transmission of data over the Internet all of which enable a User to access information about a Customer's accounts as it is contained in certain of Truist's computer systems. These Terms of Use describe the rights and responsibilities of Truist which provide trust, investment management or custody services ("Account Services") to their Customers and the people or institutions which use the Service to access information about those Customer's accounts ("User[s]"). Customers who use the Service to obtain access to information regarding their own accounts shall be governed by the provisions of these Terms of Use which apply to Users. The provision of Account Services to a Customer by a Bank is governed by a separate agreement between the Bank and the Customer which controls any rights and responsibilities between them which are not expressly provided for in these Terms of Use. Truist shall be compensated by the Customer in accordance with the Customer Agreement for the Account Services provided thereunder. Truist makes no separate charge for User access to the Services unless otherwise stipulated in a separate document signed by both Truist and the Customer. Except with respect to Statements of Account viewed via Online Statements, the data provided by the Services is not Truist’s final official record for the Customer's Account Services. This data is updated in batches from the official records at various times and may not reflect the most recent entries or corrections to those records. The official record of transactions and holdings for the Customer's accounts will continue to be reported on the Customer’s Statements of Account which Truist makes available to appropriate persons. For accounts or assets that are not associated with accounts held, in custody, at Truist Bank (“Truist”), transactions may occur for the sole purpose of client reporting in order to mirror the most current known market value at the third party, based on information received from a system or systems held by a broker, asset manager or custodian (“outside accounts”). This is a service offered by Truist to provide a holistic overview of a client’s financial status. This consolidated report is intended to illustrate your current financial situation. This report is based on information provided by outside accounts and other third-party sources (“third parties”). Fees assessed by Truist are based on account information provided to Truist by third parties. Although Truist believes the information to be reliable, because Truist relies on the accuracy of information from third parties, Truist does not guarantee that the information provided by third parties to Truist is comprehensive or accurate. Truist has not verified whether information provided with regard to an outside account is complete and/or accurate as to any particular date or dates. The consolidated report may also be based upon assumptions and estimates, later found to be inaccurate. Information regarding assets and ownership/titling of assets may be incomplete and affect the accuracy of this report. Documents and information which is private and not available for review by Truist are not included in this information, unless you have otherwise provided that information to Truist. In addition, this report may not reflect all your assets, holdings or transactions, their costs, or proceeds received by you. Prices indicated in this report are obtained from sources Truist considers reliable, but are not guaranteed. Moreover, it is important to compare the information on this report with statements you receive from custodians for your accounts and for you to maintain the original source documents for all outside accounts that may be integrated into this report. Also, your accounts held at third parties may or may not be covered by FDIC or SIPC, coverage which applies only to certain assets and may be subject to limitations. USER AGREES TO: • Review these Terms of Use, which shall be available electronically and accessible via the Trust and Portfolio Management On Line Services web page on portfolioview.truist.com. • Read and pay appropriate attention to warnings, notices and instructions presented in various areas of the Service. • Use the Service in accordance with these Terms of Use and the instructional information provided within the application. • Avoid any pattern of use which may materially affect the performance or availability of the Services or Truist's resources. • Use adequate precautions and safeguards over user’s identity, user name(s) and password(s). • User is responsible for all access to and use of the Services through User's identity or password(s). • Provide and maintain all computer, telephone and other equipment and services necessary to communicate with Truist through the Internet. • Maintain the computer(s) which User uses to connect to the Services in proper working order, including the daily use of software sufficient to protect it against viruses and similar programs which will impair its ability to communicate with the Service, and the preparation of any necessary file back-ups. • Use the Services in compliance with all applicable laws and government regulations. • Maintain the confidentiality of all information to which it obtains access through the system, and if User obtains access to information to which it is not entitled, it agrees to inform Truist, destroy, delete or return such information to Truist as soon as possible and not to share that information with any other person. • Communicate with the Truist account administrator assigned to the account (outside of business hours, with the Truist Care Center) as soon as possible if it believes that the integrity of its identity, user name(s) or password(s) have been compromised, or User is unable to access the Services. • Communicate with the Truist account administrator assigned to the account (outside of business hours, with the Truist Care Center) as soon as possible if, for whatever reason, a User’s access should be revoked for any reason, including the termination of employment with either the Customer or with a third party to whom access has been authorized by the Customer. • Not disassemble, de-compile or otherwise examine the source code of any software to which it has access under the Services. • Not copy for, or transfer to, any third party any software provided by Truist. • Make adequate provision for obtaining the information usually obtained from the Service by another means, in the event Services should not be available. RESPONSIBILITIES OF TRUIST Upon notice published over the Services, Truist may at any time modify these Terms of Use, discontinue, add to or revise any or all aspects of the Services in its sole discretion and without prior notice to users. Truist may terminate a User's right to use the Services in the event of any breach of these Terms of Use by a User or a person accessing the Services under a User's identity. Truist reserves all copyrights and other rights in and to any content available through the Services. Neither Truist nor any of its information providers, service providers, licensors, employees or agents shall be liable for any indirect, incidental, special or consequential damages arising out of User's use of the service or inability to use the service or out of any breach of any representation or warranty. ONLINE PRIVACY Truist has a long-standing commitment to protecting the confidentiality of our Customer's personal financial information. You can read about this commitment in the Online Privacy Policy found in the Privacy & Security section of the Truist PortfolioView website. This Policy describes, in detail, (i) the types of information we collect from the site and how that information is used, (ii) the use of cookies and (iii) the security applications used to protect a Customer’s account information. GENERAL PROVISIONS These Terms of Use shall be governed by and construed in accordance with the laws of the United States of America and, excluding conflicts rules, of the State of North Carolina. If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, illegal or unenforceable, the provision shall be considered to be stricken from these Terms of Use as if it had not been included from the beginning.
